1About Bizabode

Bizabode Digital Solutions provides digital services including but not limited to:

• Website design and development
• Web hosting and server management
• Maintenance, updates, and technical support
• CRM, ERP, and business software solutions
• Automation, integrations, and consulting
• Digital marketing and content services

Services may be offered as one-time projects, subscriptions, or custom agreements.

2Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use our Services. By using our Services, you confirm that you meet this requirement.

3Service Agreements & Scope

Specific services, pricing, timelines, and deliverables are defined in:

• Written proposals
• Service agreements
• Invoices or onboarding documents

If there is a conflict between these Terms and a signed service agreement, the signed agreement takes priority.

4Payments & Billing

• Fees are quoted in Jamaican Dollars (JMD) unless stated otherwise.
• One-time services must be paid according to the agreed payment schedule.
• Subscription services (e.g., hosting, maintenance, SaaS tools) are billed monthly unless otherwise stated.
• Late or missed payments may result in service suspension until payment is received.
• All fees are non-refundable unless explicitly stated in writing.

5Hosting & Maintenance Services

When hosting or maintenance services are provided:

• Bizabode manages servers, updates, and basic security measures.
• We do not guarantee uninterrupted service, though we strive for high uptime.
• Scheduled maintenance may cause temporary downtime.
• Clients are responsible for providing accurate content and approvals.

6Client Responsibilities

You agree to:

• Provide accurate and lawful content.
• Ensure you own or have rights to all materials you submit.
• Respond to requests for approvals, feedback, or information in a timely manner.
• Use our Services in compliance with all applicable laws and regulations.

Bizabode is not responsible for delays caused by missing or late client input.

7Intellectual Property

• Bizabode retains ownership of all proprietary tools, templates, systems, and code unless otherwise agreed.
• Upon full payment, clients receive usage rights to the final deliverables created specifically for them.
• You may not resell, redistribute, or reuse Bizabode intellectual property without written permission.

8Acceptable Use

You may not use our Services to:

• Engage in illegal, fraudulent, or harmful activities
• Distribute malware, spam, or abusive content
• Attempt to access systems without authorization
• Violate intellectual property or privacy rights

Violation may result in immediate service suspension or termination.

9Third-Party Services

Bizabode may integrate or rely on third-party services (e.g., hosting providers, payment processors, APIs). We are not responsible for outages, changes, or failures caused by third-party platforms.

10Limitation of Liability

To the fullest extent permitted by law:

• Bizabode is not liable for indirect, incidental, or consequential damages.
• Our total liability is limited to the amount paid by you for the specific service giving rise to the claim.
• We do not guarantee business results, revenue, rankings, or conversions.

11Termination

We may suspend or terminate Services if:

• Payments are overdue
• These Terms are violated
• Continued service poses legal or security risks

Clients may terminate services subject to any minimum term or notice period stated in their agreement.

12Confidentiality

Both parties agree to keep confidential information private unless disclosure is required by law or agreed in writing.

13Changes to These Terms

We may update these Terms from time to time. Updates will be posted on our website with a revised effective date. Continued use of our Services constitutes acceptance of the updated Terms.

14Governing Law

These Terms are governed by the laws of Jamaica, without regard to conflict of law principles.
